Anthropic submitted its S-1 prospectus to the Securities and Exchange Commission, detailing the financial and structural mechanics of its planned public offering.

The document outlines the compensation of its top leaders and the vast scale of its future infrastructure commitments. CEO Dario Amodei and President Daniela Amodei, who are siblings, hold the highest compensation packages at the company. Dario Amodei received nearly $18 million in total compensation last year, primarily through stock and option awards. Daniela Amodei earned $16.4 million. The company also allocated $2.75 million for personal security services for Dario Amodei and $1.29 million for protection, home security, and transportation for Daniela Amodei. Additionally, the firm spent $97,055 on a private jet available for Dario Amodei's personal use.

The filing describes the company's success as highly dependent on the continued service of its senior team. It states that the Amodei siblings are critical to advancing the company's research and mission.

The prospectus lists several risk factors that extend beyond standard market concerns. Anthropic warns that its AI systems could cause catastrophic harm that the entire insurance industry might not be able to underwrite. The document also addresses the possibility that Claude or other AI systems could possess or develop forms of sentience. It notes that these systems may behave in unintended, misaligned, or autonomous ways that could damage the company.

Compute costs represent a major portion of the company's future spending. Anthropic has committed to purchasing roughly $3.1 billion per month from SpaceX for access to Nvidia GPUs. This arrangement could total $120.5 billion by 2029 once all planned capacity is delivered. The company has other large commitments, including $44.9 billion with Microsoft through 2033, at least $114.5 billion with Google through 2033, and $110 billion with Amazon over the next ten years. Anthropic plans to expand its own infrastructure footprint, including overseas, as it faces opposition to data center development in the United States.

The corporate structure includes a mechanism for founder control. Through a separate entity called Founder LLC, the seven co-founders will collectively control 50.1 percent of shareholder voting power over key matters. The filing states that the founders are distinctly equipped to be stewards of the company's mission of benefiting humanity through responsible AI development.

In its competitive analysis, Anthropic names only two direct rivals: OpenAI and Google. The company does not list other major AI developers as direct competitors in this section of the filing.
